Trade Terms and Conditions

General Terms of Business

General
01. The following General Terms of Business form an integral part of agreements between EET (Schweiz) GmbH (hereinafter referred to as EET) and Purchaser. Any other individual agreements between the parties remain subject to this provision.


02. All offers are made subject to confirmation, i.e. EET reserves the right to enter into an agreement or not on the basis of the offer.

03. Prices are fixed as a matter of principle. However, EET is entitled to charge prices in effect on the day of delivery or withdraw from the agreement in the event that Purchaser rejects the higher price. Postage and packaging as well as shipping costs shall be charged separately.  

Terms of Payment 
04. All invoices shall be paid in Swiss francs unless otherwise agreed.

05. Invoiced sums shall be paid in full within 14 days/8 days of receipt of invoice. EET reserves the right, particularly in the case of first orders placed by new customers, only to deliver merchandise after receipt of a guarantee or advance payment. Interest shall not be charged on advance payments.   

06. Purchaser shall not offset payment with any claims asserted against EET.

Default of Payment by Purchaser
07. Default of payment by Purchaser shall entitle EET to withdraw from the agreement and claim for damages. EET shall levy 8% interest on arrears and reminder fees from date of due payment. 
 

Retention of Title
08. Goods remain the property of EET until complete payment has been made. EET is entitled to enter retention of title into Swiss retention of title register.

Terms of Delivery
09. Deliveries shall be dispatched as quickly as possible by EET. Partial deliveries are permitted. Unavoidable events (e.g. force majeure, strikes, lock-outs, etc.) shall entitle EET to delay delivery and, if necessary, withdraw from the agreement. 
 

10. EET shall determine the means of transport and type of dispatch. Purchaser shall bear any extra costs incurred should he demand alternative arrangements.

11. Irrespective of the value of the order, EET shall charge a dispatch fee depending on the transport medium used.  

Annulment / Right of Return
13. Orders may not be annulled as a matter of principle.

14. Right of return shall not apply in the case of goods which were ordered and delivered in perfect condition. 

Documents
15. EET reserves exclusive ownership and copyright of all documents for itself. Such documents are entrusted personally to Purchaser and may not be disclosed to third parties or copied without the written consent of EET. They are to be returned immediately to EET on demand. Non-compliance with this provision shall render Purchaser liable to pay full damages and entitle EET to withdraw from the agreement.

Liability for Defects
16. Statutory warranty regulations shall not apply. Terms of manufacturer’s guarantee shall apply instead.
 

17. Claims for damages against EET due to slight negligence are excluded.

Jurisdiction / Place of Fulfillment / Legal Venue
18. All business transacted by EET is subject to Swiss law. Place of fulfilment is Hünenberg.
Legal venue is Zug. Purchaser expressly waives his legal venue of residence.
